1. About Us

The website victors.help is operated under the business name Victor’s Help, with a business address at 4283 Express Lane, Suite MD1305, Sarasota, FL 34249, USA.

In these Terms, “we,” “us,” and “our” refer to the business operating as Victor’s Help. “You” refers to a website visitor or client.

For questions about these Terms, contact contact@victors.help.

2. Scope of These Terms

These Terms govern your use of victors.help. Where expressly incorporated into a service agreement, they also apply to the services covered by that agreement.

Submitting an inquiry does not create a client relationship or require either party to proceed. A service engagement begins when both parties accept a written proposal, statement of work, or other service agreement.

If a service agreement conflicts with these Terms, the service agreement takes priority for that engagement, subject to applicable law.

3. Our Services

Victor’s Help offers services across digital marketing, data management, website and application development, CRM integration, marketing automation, and related technical work.

Website descriptions provide general information about our capabilities. The exact deliverables, fees, deadlines, responsibilities, and exclusions for your project will be defined in your service agreement.

Unless expressly included, an engagement does not include ongoing maintenance, hosting, subscriptions, advertising spend, or support after completion.

4. Acceptable Website Use

You may use this website for lawful purposes, including learning about our services and contacting us.

You must not:

We may restrict access where reasonably necessary to address misuse, security threats, or legal requirements.

5. Proposals, Fees, and Payment

Unless expressly stated otherwise, website prices are indicative and do not constitute a binding offer.

Your service agreement will specify the applicable currency, taxes, payment schedule, and any required deposit. Third-party expenses must be identified in the agreement or approved separately before they are incurred on your behalf.

If an undisputed payment becomes overdue, we may suspend the affected work after written notice and a reasonable opportunity to pay. Any resulting schedule changes will be communicated to you.

6. Client Responsibilities

You are responsible for providing accurate requirements, necessary materials, authorized account access, and timely feedback.

You must have the necessary rights and permissions for any content, software, datasets, contact lists, or other materials you ask us to use.

You remain responsible for your business decisions, product claims, and instructions. We remain responsible for performing our agreed obligations and complying with laws applicable to our work.

Do not send passwords, payment card details, or sensitive personal information through a general contact form. Where access or sensitive information is necessary, we will agree on an appropriate transfer method.

7. Project Changes and Timelines

Project schedules depend on the agreed scope, access to required systems, client feedback, and any stated third-party dependencies.

Requests outside the agreed scope may affect fees and delivery dates. We will obtain written approval for material changes before carrying out additional work.

Both parties should promptly communicate delays that could affect the project.

8. Intellectual Property

Website content, including our original text, designs, graphics, and code, belongs to us or our licensors unless otherwise stated. You may view it for personal or internal business purposes. Other use requires permission unless permitted by law.

You retain ownership of materials you supply. You grant us permission to use those materials as necessary to deliver the agreed services.

Ownership and licensing of project deliverables, source code, working files, and reusable components will be specified in the service agreement. Payment alone does not determine ownership of every underlying tool or component.

Third-party software, fonts, images, plugins, and open-source components remain subject to their respective licenses.

We will obtain your written permission before using confidential project materials, your name, or your logo in our portfolio or promotional content.

9. Third-Party Platforms

Projects may involve external services such as hosting providers, advertising networks, CRM systems, payment processors, or software platforms.

Those providers have their own terms, fees, and policies. Their availability and functionality may change independently of us.

We cannot guarantee third-party approval, uninterrupted availability, or continued compatibility. This does not remove our responsibility for the configuration, selection, or integration work we expressly agree to perform.

10. Results and Website Information

We perform services with reasonable care and skill. However, unless expressly agreed in writing, we do not guarantee specific search rankings, advertising approvals, traffic levels, leads, sales, revenue, or other commercial outcomes.

Examples, case studies, and previous results illustrate particular circumstances and do not guarantee equivalent results for another project.

We take reasonable steps to keep website information accurate, but it may contain errors or become outdated. Contact us to confirm information before relying on it for a purchasing decision.

We aim to maintain website availability, but access may occasionally be interrupted by maintenance, technical issues, or circumstances beyond our control.

11. Confidentiality and Personal Data

Each party must protect nonpublic business information received during an engagement and use it only for the agreed purpose. Disclosure is permitted where authorized, legally required, or necessary to personnel or service providers subject to appropriate confidentiality obligations.

Confidentiality obligations do not apply to information that is lawfully public, already lawfully known to the receiving party, independently developed, or lawfully received from another source without a confidentiality restriction.

Our Privacy Policy explains how we handle personal information collected through the website.

Where a project requires us to process personal data on your behalf, the parties will agree on any required data processing terms before that processing begins. These Terms do not replace a data processing agreement or privacy notice.

12. Cancellation and Termination

Cancellation rights, notice periods, and any ongoing commitments will be specified in the service agreement.

On termination, amounts payable for completed work and approved commitments will be calculated under that agreement and applicable law. Any unused advance payment will be reconciled against those amounts, with any balance due returned.

The service agreement will govern the handover of completed work, account access, and client materials following termination.

Nothing in these Terms removes statutory cancellation, withdrawal, refund, or other consumer rights that apply to your engagement.

13. Liability

Each party’s liability is governed by applicable law and any valid provisions in the service agreement.

Neither party is responsible for a failure caused by circumstances beyond its reasonable control, to the extent permitted by law, provided it takes reasonable steps to reduce the impact and informs the other party promptly. This does not excuse payment obligations already due.

Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, or any other liability that cannot lawfully be excluded or limited.

14. External Links

The website may link to third-party websites for convenience. A link does not by itself indicate endorsement.

We do not control external content or the privacy practices of those websites. Review their terms and privacy policies before using their services or submitting information.

15. Changes to These Terms

We may update these Terms and publish the revised version with a new update date. Updates apply prospectively and do not automatically change an existing service agreement.

Where notice or express acceptance is required by law, we will provide or obtain it.

Questions about an update may be sent to contact@victors.help.

16. Governing Law and Disputes

These Terms are governed by the laws of [Governing jurisdiction], subject to any mandatory protections applicable to you.

If a dispute arises, contact contact@victors.help so we can attempt to resolve it. This does not prevent either party from seeking urgent relief or exercising statutory rights.

Unresolved disputes will be handled by the courts with jurisdiction under applicable law, subject to any valid dispute-resolution agreement.

17. General Provisions

If a provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

A failure or delay in enforcing a provision does not, by itself, waive the right to enforce it later.

These Terms do not create an employment relationship, partnership, or joint venture between you and Victor’s Help.
